1.1.1 These Terms of Service (“Terms”) are a legally binding agreement between Net Onboard Sdn Bhd (“Net Onboard,” “we,” “us,” or “our”) and the user (“you,” “your,” or “customer”).
1.1.2 These Terms govern all services, platforms, websites, and communications provided by Net Onboard.
1.2.1 By accessing, using, or purchasing our services, you confirm that you:
a. Are at least 18 years old or have obtained parental/guardian consent if under 18;
b. Have read, understood, and agree to these Terms; and
c. Acknowledge that these Terms supersede any prior agreements or representations.
1.3.1 These Terms are governed by Malaysian law, specifically:
a. Contracts Act 1950;
b. Personal Data Protection Act 2010 (PDPA);
c. Computer Crimes Act 1997; and
d. Communications and Multimedia Act 1998.
1.3.2 These Terms adhere to international standards, including:
a. General Data Protection Regulation (GDPR) for cross-border data transfers;
b. ISO 27001 standards for information security management; and
c. Payment Card Industry Data Security Standards (PCI DSS) for payment data protection.
2.1 Net Onboard reserves the right to amend these Terms for legal, regulatory, or operational reasons.
2.2 Changes will be communicated via:
a. Email to registered users;
b. Notices on our website; and
c. With a minimum of 7 days’ notice before the amendments take effect.
2.3 Continued use of services after the effective date constitutes acceptance of the amendments.
3.1 These Terms cover:
a. Managed hosting and cloud services;
b. Software-as-a-Service (SaaS) platforms;
c. Infrastructure-as-a-Service (IaaS) offerings;
d. Consulting and professional IT services.
3.2 Specific service details, such as deliverables, are outlined in individual service agreements and are governed by these Terms unless explicitly stated otherwise.
4.1 Users agree to:
a. Provide accurate and updated account and billing information;
b. Comply with all applicable Malaysian laws and international regulations;
c. Use services responsibly without disrupting other users or systems; and
d. Promptly report any unauthorized use or security breaches to [email protected].
4.2 Users must not:
a. Engage in fraudulent, malicious, or illegal activities;
b. Share login credentials with unauthorized parties;
c. Attempt unauthorized access to systems, networks, or data; or
d. Host or distribute prohibited content as defined in Section 6.
5.1 Billing
5.1.1 Invoices are generated on a monthly, quarterly, or annual basis, as specified in the service agreement.
5.1.2 Payments are due on the day of the invoice date unless otherwise stated.
5.2 Late Payments
5.2.1 Accounts with overdue payments may be:
a. Suspended or terminated after 15 days of non-payment;
b. Subject to a late fee of 1.5% per month on outstanding balances.
5.3 Taxes and Fees
5.3.1 All fees exclude applicable taxes (e.g., SST) unless explicitly stated.
6.1.1 Users may not host, store, or transmit content that:
a. Violates Malaysian laws, including defamation, sedition, or criminal activities;
b. Infringes intellectual property rights (e.g., copyrights, trademarks);
c. Contains sexually explicit material, child exploitation, or pornography;
d. Promotes hate speech, violence, terrorism, or discrimination.
6.2 Prohibited Activities
6.2.1 Users may not engage in:
a. Hacking, unauthorized access, or exploitation of system vulnerabilities;
b. Distribution of malware, ransomware, or phishing content;
c. Excessive resource usage, such as unauthorized cryptocurrency mining; or
d. Fraudulent activities, impersonation, or misrepresentation.
e. Privacy Policy
7.1.1 We collect personal data such as:
a. Name, IC number, and contact details;
b. Payment and transaction information; and
c. Technical data (e.g., IP addresses, cookies).
7.2 Data Usage
7.2.1 Data is used for:
a. Service delivery and improvements;
b. Billing and account management;
c. Compliance with legal obligations.
7.3 Data Security
7.3.1 Data is protected using:
a. AES-256 encryption for storage and transmission;
b. Multi-Factor Authentication (MFA) for restricted access; and
c. Regular security audits and compliance reviews.
7.4 Cross-Border Transfers
7.4.1 Data transfers outside Malaysia comply with GDPR-equivalent safeguards.
7.5 Data Retention
7.5.1 Personal data is retained only as long as necessary for service delivery or legal compliance.
8.1 Refund Policy
8.1.1 Refunds are limited to cases of:
a. Overcharges or billing errors;
b. Service interruptions caused solely by Net Onboard.
8.1.2 The following are non-refundable:
a. Setup fees;
b. Customized services;
c. Third-party hardware or software purchases.
8.2 Cancellation Policy
8.2.1 Customers must provide 60 days’ written notice for cancellations.
8.2.2 Notices must include account details, services to be canceled, and the requested termination date.
8.2.3 Early terminations may incur a termination fee equivalent to two months’ service fees.
9.1 Uptime Commitment
9.1.1 Net Onboard guarantees 99.9% uptime, excluding:
a. Scheduled maintenance;
b. Natural disasters or uncontrollable events;
c. User-caused disruptions.
9.2 Remedies
9.2.1 Users may claim 10% service credits for SLA breaches.
9.2.2 Claims must be submitted within 30 days of the incident.
10.1 Certifications
10.1.1 Net Onboard complies with:
a. ISO 27001 for information security;
b. PCI DSS for payment data protection.
10.2 Legal Adherence
10.2.1 We comply with all applicable Malaysian laws and international standards.
11.1 Net Onboard is not liable for:
a. Indirect or consequential damages, including loss of revenue, data, or business opportunities;
b. Failures caused by third-party products, services, or integrations.
c. Dispute Resolution
12.1 Disputes unresolved through direct communication will be resolved via arbitration in Kuala Lumpur, under the Malaysian Arbitration Act 2005.
13.1 Commitment to Ethical Conduct
13.1.1 Net Onboard Sdn Bhd is committed to maintaining the highest standards of integrity, transparency, and ethical conduct in all its business dealings.
13.1.2 We strictly prohibit bribery and corruption in any form, whether direct or indirect, in compliance with the Malaysian Anti-Corruption Commission Act 2009 (MACC Act) and applicable international anti-corruption laws, including the UK Bribery Act 2010 and the U.S. Foreign Corrupt Practices Act (FCPA).
13.2 Prohibited Activities
13.2.1 Users, employees, contractors, and third parties are prohibited from engaging in the following activities:
a. Offering or Accepting Bribes: Providing, offering, or receiving anything of value to influence decisions or secure improper advantages.
b. Facilitation Payments: Making small, unofficial payments to expedite routine actions or processes.
d. Improper Gifts or Hospitality: Offering or accepting gifts, entertainment, or hospitality that could influence business decisions or create a conflict of interest.
e. Kickbacks: Receiving or providing payments as a reward for awarding or securing business.
13.3 Reporting Obligations
13.3.1 Users and third parties must report any suspected bribery or corruption incidents to Net Onboard immediately.
13.3.2 Reports can be made via email to [email protected].
13.3.3 All reports will be handled confidentially and without retaliation against the reporting individual.
13.4 Enforcement and Penalties
13.4.1 Violations of this policy may result in:
a. Immediate termination of services or contracts;
b. Reporting to law enforcement agencies, including the Malaysian Anti-Corruption Commission (MACC);
c. Legal action, including recovery of damages and penalties;
d. Permanent blacklisting from using Net Onboard’s services.
13.4.2 Employees or contractors found violating this policy may face disciplinary action, including dismissal and potential legal proceedings.
13.5 Due Diligence on Third Parties
13.5.1 Net Onboard conducts due diligence on third-party vendors, suppliers, and contractors to ensure compliance with this policy.
13.5.2 Third parties are required to confirm their compliance with anti-bribery and anti-corruption laws through contractual agreements.
13.6 Anti-Bribery Training and Awareness
13.6.1 Net Onboard provides anti-bribery and anti-corruption training to its employees and key stakeholders to ensure awareness and adherence to this policy.
13.6.2 Training records will be maintained as part of compliance audits.
13.7 Zero-Tolerance Policy
13.7.1 Net Onboard maintains a zero-tolerance approach to bribery and corruption.
13.7.2 This policy applies to all users, employees, contractors, vendors, and other third parties engaged in business with Net Onboard.
13.8 Annual Policy Review
13.8.1 This policy will be reviewed annually to ensure its effectiveness and alignment with applicable laws and regulations.
